Castle Capital Management – Terms and Conditions

Introduction

These Terms and Conditions (“Terms”) govern the use of the services provided by Castle Capital Management (“we,” “us,” or “our”) to our clients (“you” or “your”). By accessing or using our services, you agree to these Terms. Please read them carefully before proceeding.

1. Definitions

  • Services: The payroll and logistics solutions, including but not limited to payroll processing, compliance reporting, contractor assessments, and logistics support, offered by Castle Capital Management.
  • Client: Any individual or organization that engages Castle Capital Management for services.
  • Agreement: These Terms and Conditions, any accompanying documents, and any subsequent amendments or updates.

2. Our Services

Castle Capital Management provides the following services:

  • Payroll Services: Includes payroll processing, tax calculations, payslips, pension management, HMRC submissions, and year-end reporting.
  • IR35 Assessments: Risk assessments for contractors to ensure compliance with IR35 tax legislation.
  • Logistics and Workforce Management: Support for logistics operations, including employee scheduling, time tracking, and absence management.

The scope of the Services to be provided will be agreed upon in writing before any work commences. Any additional services requested may incur additional fees.

3. Client Obligations

As a client of Castle Capital Management, you agree to:

  • Provide accurate and timely information necessary for us to deliver our services.
  • Ensure compliance with all applicable laws, including tax and employment regulations, in your business operations.
  • Respond promptly to any requests for information or clarification that we may require to process payroll or other services.
  • Keep us informed of any changes that could affect the services, such as changes in staff or company structure.

You are responsible for ensuring that any third-party suppliers or contractors you engage comply with all relevant legal requirements and provide accurate information to us.

4. Fees and Payment

  • Fees: The fees for our services are outlined in the proposal or agreement specific to your business. Our fees are subject to change, and we will notify you of any changes in advance.
  • Invoicing: We will issue invoices according to the agreed schedule, which could be on a monthly, quarterly, or annual basis. Payment terms are typically 30 days from the date of the invoice unless otherwise agreed upon.
  • Late Payments: If payment is not received within the agreed payment term, Castle Capital Management reserves the right to charge interest on overdue amounts at a rate of 2% per annum. We may also suspend or terminate services if payment is not received.

5. Confidentiality and Data Protection

  • Confidential Information: Both parties agree to keep all information disclosed during the provision of services confidential. This includes business operations, financial details, and personal employee data.
  • Data Protection: Castle Capital Management complies with all relevant data protection laws, including the General Data Protection Regulation (GDPR). We take all necessary measures to protect your data and ensure that it is used only for the purposes it was collected for.

You agree to provide us with any necessary consents for processing personal data where required, and to notify us promptly of any changes that might affect our ability to process data on your behalf.

6. Liability

  • Limitation of Liability: To the fullest extent permitted by law, Castle Capital Management will not be liable for any indirect, incidental, or consequential damages, including loss of profits, business interruption, or loss of data, arising out of the use of our services.
  • Our Liability: Our total liability to you in connection with the provision of services will not exceed the total fees paid by you for the specific service giving rise to the claim, in the 12-month period preceding the event giving rise to the liability.
  • Force Majeure: We will not be held liable for any delays or failure in providing services due to circumstances beyond our control, including but not limited to natural disasters, strikes, pandemics, or government actions.

7. Termination

  • Termination by You: You may terminate the Agreement at any time by providing us with 30 days written notice. Any outstanding fees must be paid up to the termination date.
  • Termination by Us: Castle Capital Management may terminate the Agreement immediately if:
    • You breach any material provision of these Terms and fail to remedy the breach within a reasonable time.
    • You fail to make payment in accordance with the agreed terms.
    • There are circumstances that prevent us from providing the services as agreed.

Upon termination, any outstanding payments will become due immediately.

8. Dispute Resolution

If any disputes arise between us, we agree to resolve them through negotiation or, if necessary, through mediation before taking any legal action. If a dispute cannot be resolved through these means, either party may refer the matter to the courts of the UK.

9. Changes to Terms

Castle Capital Management reserves the right to update or amend these Terms and Conditions from time to time. Any changes will be communicated to you in writing and will take effect upon notification. It is your responsibility to review these Terms regularly to stay informed of any updates.

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
